Terms of Service

These Terms of Service ("Terms") govern access to and use of LeadTrackr and related services provided by ForgeLine Partners ("ForgeLine," "we," "our," or "us"). LeadTrackr is a managed referral-network operations platform for service businesses.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service Overview

The Service may include lead capture, referral attribution, call-routing workflows, referral-network operations tooling, billing workflows, and related dashboards and analytics.

We may improve, modify, or discontinue features from time to time. The Service is intended for business use and not for personal consumer use.

2. Eligibility

You must be at least 18 years old and have authority to bind your company or organization. By using the Service, you represent and warrant that you meet these requirements.

3. Account Responsibilities

You agree to:

• Provide accurate and current account information
• Keep credentials confidential and secure
• Promptly notify us of unauthorized access or security incidents
• Accept responsibility for activity under your account

If you create user accounts for staff or contractors, you are responsible for their compliance with these Terms.

4. Network Participation and Operational Rules

LeadTrackr supports managed referral-network operations. Seat assignment, activation, replacement, route provisioning, and related operational processes may follow ForgeLine policies and workflows communicated in-product or in writing.

Network participation, market availability, and partner placement are subject to operational constraints, quality standards, and business discretion.

5. Communications Compliance

The Service may use third-party communications providers (including telephony and messaging providers) to support routing and attribution workflows.

You acknowledge and agree that:

• You are solely responsible for compliance with all applicable federal, state, and local communications laws, consent rules, and consumer protection laws
• You are responsible for obtaining legally required permissions from callers, leads, and customers before initiating or tracking communications
• ForgeLine does not provide legal advice and does not guarantee your legal compliance

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or court order
• Send unsolicited, deceptive, or unlawful communications
• Infringe upon the rights, privacy, or intellectual property of others
• Transmit malware, harmful code, or attempt to disrupt or compromise the Service
• Misrepresent your identity, business, or authority

We reserve the right to suspend or terminate accounts that violate these Terms or pose legal, security, or operational risks.

7. Fees, Billing, and Payment

Paid features are billed based on the pricing and terms presented in your order form, checkout flow, or other written agreement with ForgeLine.

• Fees may include subscription, seat, and usage-based charges
• Usage charges may apply to communications volume or related features
• You authorize us and our payment processor to charge applicable amounts
• Except where required by law, fees are non-refundable
• Unpaid balances may result in suspension, deactivation, or limited access

We may revise pricing prospectively with reasonable notice unless a different pricing term is fixed in your written agreement.

8. Data and License

You retain ownership of data you submit to the Service ("Customer Data").

You grant ForgeLine a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service, and to meet legal obligations.

9. Third-Party Services

The Service may integrate with third-party services and infrastructure. We are not responsible for third-party availability, security, or performance.

Your use of third-party services is subject to the third parties' own terms and policies.

10. Confidentiality

Each party may receive non-public business or technical information from the other. The receiving party will use reasonable care to protect it and use it only for purposes related to the Service.

11. Intellectual Property

ForgeLine and its licensors own all rights, title, and interest in the Service (excluding Customer Data), including software, branding, and related intellectual property. No rights are granted except as expressly stated in these Terms.

12. Service Availability and Performance Disclaimer

We target reliable operation but do not guarantee uninterrupted or error-free service. LeadTrackr is an attribution and operations platform and does not guarantee lead volume, booking rate, conversion rate, or revenue outcomes.

13. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by law, ForgeLine will not be liable for:

• Indirect, incidental, consequential, special, punitive, or exemplary damages
• Loss of profits, business opportunities, goodwill, or data

Our aggregate liability for all claims related to the Service will not exceed the amount paid by you to ForgeLine in the 12 months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless ForgeLine and its affiliates from claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of applicable law or third-party rights

16. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees when due, create legal/security risk, or as required by law.

On termination, your right to access the Service ends immediately, subject to any post-termination rights required by law or written agreement.

17. Governing Law

These Terms are governed by the laws of the United States and the state in which ForgeLine is headquartered, without regard to conflict-of-law rules.

18. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted with a revised "Last updated" date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
